Welcome to MP Ensystems
1.Introduction
These Terms and Conditions ("Terms") govern your access to and use of the EV Charging Infrastructure Siting software as a service ("Service") provided by MP Ensystems Advisory Pvt Ltd ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.
2.Description of Service
Our Service is a SaaS application called EVCI Siting tool that is designed to aid in identifying potential locations for setting up Electric Vehicle (EV) charging stations for cities and freight corridors across India.
Analytics
Given the right data in the prescribed format as input, the application can help quickly run customised analytics on the sites to assist in identification of sweet spots for setting up new EV charging stations.
Cost Benefit Analysis
A cost benefit analysis is also provided based on projected revenue the charging station would get at the recommended location.
3.User Accounts
Account Creation
You must create an account to use our Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Information
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.Use of the Service
Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
Prohibited Activities
You shall not:
a) Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
b) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or any server, computer, or database connected to the Service.
c) Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
5.Data Input and Output
Data Responsibility
You are solely responsible for the accuracy and completeness of the data you input into the Service, including traffic data, power availability information, and potential revenue figures.
Output Disclaimer
While we strive to provide accurate and useful output, we do not guarantee the accuracy, completeness, or usefulness of the locations suggested by our Service. The suggested locations should be used as a starting point for further investigation and due diligence.
6.Intellectual Property Rights
Ownership
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by MP Ensystems Advisory Pvt Ltd, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Usage Rights
These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service.
7.User Generated Content and Processed Data
Content Submission
The Service allows you to input certain information, data, text, and other material ("User Generated Content") for processing. You are responsible for the User Generated Content that you submit to the Service, including its legality, reliability, and appropriateness.
Representations and Warranties
By submitting User Generated Content to the Service, you represent and warrant that:
a) The User Generated Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms.
b) The submission and processing of your User Generated Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.
Rights Retention
You retain any and all of your rights to any User Generated Content you submit to the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for User Generated Content you submit to the Service.
Processing of Content
a) Our Service processes the User Generated Content you provide to generate suggested EV charging station locations and related data ("Processed Data").
b) While we strive for accuracy, we do not guarantee the accuracy, completeness, or suitability of the Processed Data. It should be used as a starting point for further investigation and due diligence.
Use of Processed Data
a) The Service allows you to download the Processed Data generated from your User Generated Content.
b) You are granted a non-exclusive, non-transferable license to use the downloaded Processed Data for your own personal or internal business purposes.
c) You shall not sell, license, sublicense, distribute, or otherwise make the Processed Data available to any third party without our express written consent.
d) You are solely responsible for your use of the downloaded Processed Data and any decisions made based on this data.
Our Rights
We reserve the right to refuse processing any User Generated Content or to remove any Processed Data from the Service at our discretion, without prior notice, for any reason whatsoever.
We reserve the right to terminate the account of any user found to be infringing on a copyright or violating these Terms.
Indemnification
You agree to indemnify, defend, and hold harmless MP Ensystems Advisory Pvt Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your User Generated Content, your use of the Processed Data, or your violation of these Terms.
8.Payment Terms
Subscription Plans
We offer various subscription plans for our Service. By selecting a subscription plan and providing payment information, you agree to pay the fees associated with that plan.
Taxes
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.
9.Termination
Our Rights
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
User Termination
You may terminate your account at any time by contacting us and requesting account deletion. Upon termination, your right to use the Service will immediately cease.
10.Limitation of Liability
Liability Scope
In no event shall MP Ensystems Advisory Pvt Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
11.Disclaimer
Service Warranty
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
12.Governing Law
Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Mumbai, Maharashtra, India, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these terms and conditions shall be submitted to the exclusive jurisdiction of the Bombay High Court.
13.Changes to Terms
Updates
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes to these Terms by posting the new Terms on this page.
